The role will also support ongoing key strategic projects.Responsibilities
- Coordinate with corporate governance team in providing a full range of corporate governance and corporate secretarial services to HBI
- Draft entity resolutions, minutes and other corporate governance documents as required
- Prepare and assist with SEC and statutory filings
- Track insider stock holdings and prepare and assist with related filings
- Prepare timeline for proxy statement and work with third party vendors for proxy preparation and solicitation process
- Perform benchmarking and research on various securities and governance matters
- Assist with a variety of other governance and shareholder-related matters, including policies and procedures, insider trading procedures and executive and director compensation
- Provide corporate governance assistance on corporate financings, corporate reorganizations, mergers, acquisitions and other major projects as required
- Interface with and provide assistance and support to other departments including Treasury, Tax and Finance as required and as related to corporate governance matters
- Coordinate the preparation of materials for Board of Director meetings
- Assist with coordinating and reviewing required corporate governance documents by external resources
- Provide assistance and support to internal legal team as required
Minimum Education/ ExperienceBachelor’s degree with 5+ years relevant work experience OR Master’s + 3+ relevant work experience; 4+ years of equivalent work experience can be substituted for Bachelor’s degree.Preferred Certifications
Specific Skills or Experience Required
- A Bachelor’s degree or the equivalent combination of education, training, and work experience
- Minimum of 5 years’ corporate governance/secretarial experience
- Confidence and gravitas to engage with senior stakeholders effectively
- Experience working in-house supporting a corporate secretary’s office or law firm supporting public company corporate governance or securities law matters
- Experience preparing insider filings under Section 16 of the Securities and Exchange Act and assisting with other filings required by the SEC (e.g., Form 3, Form 4, 8-K, 10-Q, 10-K, Proxy Statement, etc.) and NYSE (notice, affirmation, etc.)
- Strong communication skills with the ability to multi-task and prioritize work in a fast-paced, deadline-focused environment
- Ability to work independently; self-motivated but also a team player
- Ability to build relationships and credibility across the organization
- Strong IT skills; familiarity with Diligent, GEMS, and proficiency in Windows-based applications, Microsoft Outlook, Word, Excel and PowerPoint

Ability to interface with various departments (Treasury, Tax, Finance) and provide governance-related support. Clear and concise communication with internal legal teams and external stakeholders.
- Team Collaboration: Ability to work collaboratively with the corporate governance team. Support for ongoing key strategic projects and major corporate initiatives. Assistance and support to other departments and teams as required.
- Organizational Skills: Efficient preparation and organization of materials for Board meetings. Coordination and review of required corporate governance documents. Management of multiple tasks and responsibilities in a fast-paced environment.
